1. Acceptance, Eligibility, and Authority

• Commit to provide funding or establish a credit limit
• Set a participating provider’s rates, fees, repayment schedule, collateral requirements, or other terms
• Guarantee that a request will be reviewed by a particular provider
• Guarantee approval, funding availability, an amount, timing, pricing, or any particular result
• Provide legal, tax, accounting, investment, or individualized financial advice

Based on the information submitted, VeriPoint may route a request to one or more participating funding partners whose programs could align with the business profile and funding need. Routing does not constitute approval, prequalification, a recommendation, or an offer of credit.

Any potential offer is made solely by the applicable funding partner or lender and is governed by that party’s disclosures, privacy notice, underwriting requirements, and written agreement.

3. Funding Requests and Information You Provide

When you submit a request, inquiry, partner application, or other information, you agree that the information is truthful, current, complete, and not misleading.

• You must not submit information about another person or business without authorization.
• You must promptly correct material errors or changes when they become known.
• You must not use false identities, fabricated revenue, altered documents, or misleading business information.
• You remain responsible for reviewing all provider disclosures and agreements before proceeding.
• You are responsible for determining whether a potential payment obligation is appropriate for the business.

The initial VeriPoint request does not require document uploads. If you choose to continue, a verified VeriPoint representative or participating funding partner may request supporting information or documents through an authorized process.

Do not submit passwords, bank login credentials, Social Security numbers, or full financial account numbers through general website forms or ordinary email.

Permission to Process and Route a Request

By submitting information, you authorize VeriPoint to use, review, verify, transmit, and disclose the information as reasonably necessary to respond to the request, operate the service, identify potential funding-partner alignment, prevent fraud, comply with law, and perform the activities described in the Privacy Policy and applicable form disclosures.

4. Communications and Electronic Records

By providing contact information and submitting a request or inquiry, you authorize VeriPoint to send service-related communications reasonably necessary to respond, administer the request, provide notices, verify information, or discuss next steps.

Telephone, text-message, prerecorded-message, automated-dialing, or promotional consent is governed by the specific consent language presented with the applicable form. Where separate consent is required, these Terms alone do not replace that consent.

• You are responsible for providing accurate contact information.
• Carrier charges and messaging rates may apply to telephone or text communications.
• You may use available unsubscribe or STOP instructions for promotional communications.
• Opting out of marketing does not prevent necessary service, security, legal, or transaction-related communications.

Electronic Records

You agree that notices, disclosures, records, and communications may be provided electronically when permitted by law. You are responsible for maintaining a working email address, compatible device, internet access, and the ability to save or print records. A separate transaction may include additional electronic-consent requirements.

VeriPoint may investigate suspected misuse and cooperate with service providers, funding partners, regulators, courts, or law enforcement when reasonably necessary and legally permitted.

VeriPoint Content

The website and its text, design, layout, graphics, logos, trademarks, service marks, software, forms, databases, and other content are owned by or licensed to VeriPoint and are protected by applicable intellectual-property laws.

Subject to these Terms, VeriPoint grants you a limited, revocable, nonexclusive, nontransferable right to access and use the public website for legitimate internal business purposes. No ownership interest is transferred.

Information and Materials You Submit

You retain any ownership rights you have in materials you submit. Unless expressly stated in a written agreement, they are not VeriPoint employees or agents, and VeriPoint is not responsible for their acts, omissions, underwriting, products, privacy practices, websites, communications, or agreements.

Before proceeding with a third party, you should independently review:

• The legal identity of the provider
• The complete offer, disclosure, and agreement
• The amount received and total repayment
• Rates, financing charges, fees, and payment frequency
• Term length, collateral, liens, guarantees, and default provisions
• Early-payment, renewal, debit-authorization, and dispute terms
• The provider’s privacy and information-security practices

VeriPoint may receive compensation from a participating funding partner if a referred business completes a qualifying transaction. Compensation does not increase your obligation to accept an offer and does not guarantee that any option is the lowest-cost or most favorable option available.

8. Disclaimers

VeriPoint disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, security, and uninterrupted operation, to the extent those warranties may lawfully be disclaimed.

• A particular provider, amount, product, rate, fee, term, or funding timeline will be available

• A funding request, provider decision, offer, denial, delay, communication, or transaction
• Third-party products, services, websites, privacy practices, or conduct
• Unauthorized access, security incidents, transmission errors, or loss of submitted information
• Reliance on website content or educational resources

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIPOINT’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PUBLIC WEBSITE AND THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS; OR (B) THE AMOUNT YOU PAID DIRECTLY TO VERIPOINT FOR THE SPECIFIC WEBSITE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT.

These limitations do not apply to liability that cannot lawfully be excluded or limited. A separate written agreement may establish different limitations for a specific service or relationship.

10. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless VeriPoint and its owners, officers, employees, contractors, affiliates, service providers, and representatives from claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising from or relating to:

• Information or materials you submit
• Your fraud, misrepresentation, unlawful conduct, or infringement of another person’s rights
• Your unauthorized use of the website, VeriPoint branding, or third-party information
• A dispute between you and a funding partner, referral source, business owner, or other third party that is not caused by VeriPoint’s unlawful conduct

VeriPoint may control the defense of a claim subject to indemnification, and you agree to provide reasonable cooperation. You may not settle a claim in a manner that imposes liability or obligations on VeriPoint without written consent.

11. Website Availability, Suspension, and Termination

VeriPoint may modify, suspend, restrict, or discontinue all or part of the website or services at any time, subject to applicable law and any separate written agreement.

VeriPoint may block or terminate access when it reasonably believes a user has:

• Violated these Terms or applicable law
• Submitted false, fraudulent, stolen, or unauthorized information

• Misused VeriPoint branding, referral materials, or partner relationships

Sections that by their nature should survive termination will continue to apply, including intellectual-property rights, disclaimers, limitations of liability, indemnification, dispute provisions, and general terms.

12. Governing Principles and Disputes

These Terms are governed by applicable United States federal law and, to the extent federal law does not control, the applicable law governing the VeriPoint operating entity and the transaction or conduct at issue, without applying rules that would require the laws of another jurisdiction.

Before filing a legal action concerning the public website or these Terms, you agree to provide VeriPoint with a written description of the dispute and a reasonable opportunity to attempt an informal resolution, unless immediate action is necessary to protect rights or avoid expiration of a legal deadline.

Send dispute notices to hello@veripointfunding.com with the subject line “Legal Notice.” Include your name, business name, contact information, a description of the issue, and the requested resolution.

A dispute involving a participating funding partner, lender, or referral partner may be governed by a separate agreement containing its own law, forum, arbitration, or dispute-resolution provisions. Those separate provisions control disputes arising under that agreement.

Nothing in these Terms prevents either party from seeking relief in a court of competent jurisdiction when permitted by law. The specific court venue and any arbitration or class-action terms should be identified in a separate written agreement or a legally reviewed update to these Terms.

13. Changes to These Terms

VeriPoint may update these Terms to reflect changes in the website, services, business operations, legal requirements, or risk-management practices.

The updated Terms will display a revised “Last updated” date. When required by law or when a change materially affects existing rights or obligations, VeriPoint will provide additional notice or request renewed agreement as appropriate.

Changes apply prospectively from the stated effective date unless applicable law permits otherwise. Continued use after an effective date constitutes acceptance only to the extent legally enforceable based on the notice and circumstances provided.

14. General Provisions and Contact Information

Severability

If a provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

No Waiver

A failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment

You may not assign or transfer these Terms without VeriPoint’s written consent. VeriPoint may assign these Terms in connection with a merger, financing, restructuring, sale, transfer of assets, or change in control, subject to applicable law.

Entire Agreement

These Terms, the Privacy Policy, applicable form disclosures, and any additional written terms constitute the agreement governing the public website and the applicable interaction. A separate provider or referral agreement remains independent and controls the matters it addresses.
